Terms of Service

These Terms of Service ("Terms") govern your use of the Valo app, Valo - your personal AI ("Valo"), and related services (the "Services"), operated by Persin Private Limited ("Persin", "we", "us", "our"). By creating an account or using Valo, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

About Valo

Valo, your personal AI, is an AI-assisted reminder app. It helps you capture things to remember by typing, speaking, taking a photo, or connecting an email or messaging account, and it creates and surfaces reminders for you. We are always improving Valo, so features may change over time.

Who can use Valo

You must be at least 18 years old to use Valo. Valo is for your own personal use. By using the Services, you confirm that you are at least 18, that you are using Valo for yourself, and that you are not setting it up, or connecting accounts to it, on someone else's behalf without their knowledge and permission. You also confirm that the information you give us is accurate.

Your account

You sign in to Valo with your phone number. You are responsible for keeping your device and account secure and for the activity that happens under your account. Please do not share your sign-in details. Tell us promptly if you believe your account has been used without your permission.

Connecting your accounts

You may choose to connect email or messaging accounts (your "Connected Accounts"), such as Gmail, Outlook, or Yahoo, or messaging services such as WhatsApp, Slack, or Telegram, so that Valo can turn relevant messages into reminders. This is optional. When you connect an account, you give Valo permission to access the information described in our Privacy Policy.

By connecting an account, you confirm that it is yours or that you are authorised to connect it, and that you are allowed to share the information it contains with us, including information about other people in your messages. You are responsible for obtaining any consent the law requires. You can disconnect any Connected Account at any time from your profile, which removes the messages we stored for that connection. Your use of these accounts also remains subject to each service's own terms.

Your content

The reminders, notes, recordings, photos, and other content you create or connect remain yours. You give us a limited licence to store, process, and display that content for the sole purpose of providing the Services to you, including sending it to the Service Providers described in our Privacy Policy. We do not claim ownership of your content, and we do not use it to train generalized AI models.

Acceptable use

Please use Valo only for lawful, personal purposes. You agree not to misuse the Services, including by trying to break, overload, or gain unauthorized access to them; using them to store or share unlawful content; connecting accounts you are not allowed to connect; or using them in a way that infringes the rights of others.

AI and accuracy

Valo uses artificial intelligence to understand what you give it and to create and draft reminders. AI can make mistakes. Valo may misread a message, get a date wrong, miss something, or create a reminder that is incomplete or wrong. Valo is a convenience tool. It is not a guaranteed or reliable record, and it is not a substitute for your own judgement. You are responsible for checking anything important, and you should not rely on Valo alone for reminders that carry financial, legal, medical, safety, or other serious consequences. Anything Valo drafts for you, such as a reply, is yours to review before you send it, and you are responsible for what you send. Valo does not provide professional advice.

Our intellectual property

The Valo app, its name, logo, design, and software are owned by Persin and are protected by law. These Terms do not give you any right to use our name, logo, or branding except as needed to use the Services normally.

Changes to the Services

We may add, change, or remove features, and we may suspend or stop offering the Services, at any time. Where reasonable, we will try to let you know in advance of significant changes.

Cancelling and deleting your account

You can stop using Valo at any time. You can delete your account and all associated data from within the app, in your profile settings, or by emailing think@persin.ai. We may suspend or end your access if you breach these Terms or use the Services in a way that could harm Valo or other users.

Disclaimers

The Services are provided "as is" and "as available", with all faults and without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. This includes any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be available, uninterrupted, timely, secure, or error-free; that any reminder will be created, delivered, or delivered on time; or that anything Valo reads, creates, drafts, or sends will be accurate or complete. You use the Services at your own risk, and you are solely responsible for any decision or action you take based on them.

Limitation of liability

To the fullest extent permitted by law, Persin, together with its directors, employees, and Service Providers, will not be liable to you for any loss or damage of any kind arising out of or relating to the Services or these Terms, whether the claim is based on contract, tort (including negligence), or any other theory. This includes any indirect, incidental, special, punitive, exemplary, or consequential loss; any loss of data, profit, goodwill, or opportunity; and any loss arising from a reminder that is missed, delayed, duplicated, wrong, or not delivered, from anything Valo reads, creates, drafts, generates, or sends, from any action or decision you take based on the Services, from any Connected Account or other third-party service, or from any unauthorized access to or loss of your information.

If, despite the above, Persin is found liable, our total combined liability for all claims relating to the Services will not exceed the greater of (a) the amount you paid us to use the Services in the 12 months before the event giving rise to the claim, or (b) INR 1,000 (one thousand rupees).

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, such as liability for fraud. This section survives the end of your use of the Services.

Your responsibility and indemnity

You are responsible for your use of Valo, for the accounts and content you connect, and for ensuring you are allowed to connect them. To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Persin and its directors, employees, and Service Providers from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or relating to: your use of the Services; the content or accounts you connect, including any claim by another person about information in those accounts; your breach of these Terms; or your violation of any law or the rights of any other person. This section survives the end of your use of the Services.

Governing law

These Terms are governed by the laws of India. Any disputes relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of India.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after a change means you accept the updated Terms.
